Terms of Service

1. The service

Reeplii is provided by [Company Name Ltd] (RC [number]), [registered address]. It lets businesses send WhatsApp messages to their customers, receive and answer replies (including with an AI assistant), and manage contacts, using the official WhatsApp Business Platform.

2. Your responsibilities

• You must follow WhatsApp's Business Messaging Policy and Commerce Policy, this Acceptable Use Policy, and Nigerian law, including the Nigeria Data Protection Act 2023.
• You are the data controller for your customers' personal data. You confirm you have a lawful basis (usually consent or an existing customer relationship) to message every contact you upload or message, and you will honour opt-outs.
• You are responsible for your message content, your customer dealings, and the information you give the AI assistant.

3. Protections we apply

Reeplii applies automatic safeguards (consent checks, sending limits, test batches, automatic pausing). They reduce but cannot eliminate the risk of Meta restricting your number; Meta alone decides restrictions.

4. Fees, wallet and refunds

Subscriptions renew automatically until cancelled; you keep access until the end of the paid period. Wallet top-ups are used for message and AI fees at the prices shown before each action.

Unused wallet balance is refundable on request within 90 days of top-up, less payment processing fees. [Confirm refund policy.]

5. Suspension and termination

We may pause sending or suspend accounts that break these terms, risk the platform's standing with Meta, or are subject to a lawful request. You may close your account at any time; see the Data Processing Agreement for what happens to your data.

6. Liability

To the extent permitted by law, our total liability is limited to the fees you paid in the 3 months before the claim. We are not liable for actions taken by Meta, payment providers or other third parties. [Lawyer to review.]

7. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria.
